Terms of Service

Semmodo is a DBA (Doing Business As) of Lennox Media Group LLC. All services, agreements, and billing are legally fulfilled under Lennox Media Group LLC D/B/A Semmodo.

Agreement Term
This agreement begins upon your first subscription payment and renews automatically each month. Billing is managed through Stripe, and charges are processed automatically using the payment method on file.

SMS Disclosure and Messaging Consent
By opting in, you agree to receive SMS messages from Semmodo related to:

  • Notifications
  • Marketing offers
  • Account authentication (2FA)
  • Service communications

Message frequency varies. Message and data rates apply.

Consent may be provided through website forms, checkout, account creation, or verbal authorization.

Cancellation Policy
You may cancel your subscription at any time. Cancellation becomes effective on the next billing cycle, and no future charges will be made beyond that point. Early cancellation does not result in a refund for the unused portion of a prepaid term.

No Refund Policy
All payments made to Semmodo are final and non-refundable, including:

  • Monthly subscriptions
  • Annual subscriptions
  • Usage-based charges
  • Wallet top-ups
  • Partial billing periods

You acknowledge that Semmodo provides immediately provisioned websites, software, phone numbers, and digital systems that cannot be reversed once activated.

Bad-Faith Chargebacks Policy
Due to the immediate access, provisioning, and irreversible nature of digital products and software services, you agree not to initiate chargebacks or payment disputes for any fees paid to Semmodo.

If a chargeback or dispute is initiated, Semmodo reserves the right to submit evidence of service delivery and usage, including but not limited to platform access logs, website and automation provisioning records, phone and messaging activity, and account setup documentation.

Fraudulent or bad-faith chargebacks constitute a material breach of this agreement and may result in account termination, collection efforts, legal action, and recovery of all amounts owed, including any associated fees or costs.

Website Transfer & Data Limitation
If you cancel your Semmodo subscription and request that your website be transferred to another provider or hosting platform, a $350 transfer fee will apply to cover the administrative and technical work required to prepare and export your website files.

You acknowledge and agree that only the website files and static content are transferable.

Platform features including but not limited to CRM records, contact data, forms, automations, workflows, tracking, call and message history, pipelines, reviews, and system logic are part of the Semmodo platform and will not be transferred, exported, or restored.

Upon cancellation, all platform data associated with your account is permanently deleted, and Semmodo is not responsible for data loss, recovery, or migration beyond the website files explicitly included in the transfer.

Payment Terms
Monthly subscription fees are billed automatically in advance each billing cycle. You are responsible for maintaining an active payment method within the billing portal. Failure to process payment may result in suspension of services until resolved.

Free Trials and Discounts
From time to time, Semmodo may offer free trials, limited access periods, or promotional discounts. During any trial or promotional period, only limited setup or configuration may occur for evaluation or information-gathering purposes. Full platform access and service delivery begin only once paid billing is activated.

Promotional offers and discounts do not alter, waive, or replace any terms of this agreement, including payment obligations, usage limits, or the no-refund policy.

Payment Failures and Service Suspension
If a payment attempt fails, Semmodo will retry up to four times over three weeks.

If payment is not resolved within 48 hours of the first failure, your account and services may be suspended until all balances are paid.

Usage-Based Charges and Usage Allowance
Some plans include a monthly usage allowance for SMS, voice minutes, and email sends:

SMS: 1,000 messages
Voice: 500 minutes
Email: 10,000 sends

You acknowledge that you may incur additional usage-based charges related to phone numbers, SMS and MMS messaging, voice calls, and number intelligence services. These charges are variable and depend on actual usage.

Current standard rates include:

Phone numbers: Local numbers at $1.15 per month and toll-free numbers at $2.15 per month
SMS (US and Canada): $0.0079 per message segment, inbound and outbound
MMS (US and Canada): $0.02 per outbound message and $0.01 to $0.02 per inbound message
Voice calls: $0.0180 per minute outbound and $0.0085 to $0.0220 per minute inbound
Number intelligence services: $0.005 to $0.01 per lookup or function

Message Delivery
Semmodo cannot guarantee that 100% of messages will be delivered without delays or failures. While rare, such issues can occur due to factors outside our control, such as network problems or device compatibility.

User Responsibilitites
You are responsible for all messages and content sent through your account and must comply with all applicable laws including TCPA, CAN-SPAM, and privacy regulations.

You may not use Semmodo for spam, harassment, illegal activity, or deceptive practices.

Advertising Costs
All third-party ad costs (Google, Facebook, etc.) are paid directly by you to the respective platform(s). Semmodo manages ad creation, optimization, and reporting but does not fund ad spend directly.

Access & Deliverables
You must provide Semmodo with required access (e.g., website, Google Ads, Facebook, CRM) to deliver services. Delays in access may affect timelines or performance.

Revisions & Out-of-Scope Requests
Minor updates and monthly optimizations are included. Requests beyond the agreed Scope of Work may require separate approval and fees.

Confidentiality
Both parties agree to protect all proprietary and confidential information shared during this engagement.

Liability
Semmodo performs services with professional care and diligence but is not liable for indirect, incidental, or consequential damages resulting from platform outages, ad performance, or third-party service interruptions.

Changes to These Terms
We reserve the right to update and change these Terms of Service at any time. Continued use constitutes acceptance.

Changes to these Terms of Service will be communicated through our website or direct communication where feasible.

Acceptance
By subscribing to or using any Semmodo services, products, or platforms, you confirm that you have read, understood, and agree to be bound by these Terms of service in its entirety.
